- By accessing or using True Circle ("we," "us," "our," or "the Platform"), you ("you" or "User") agree to be bound by these Terms of Service (the "Terms") and our Privacy Policy.
- If you do not agree to these Terms, you must not access or use the Platform. Use of the Platform constitutes acceptance of these Terms as of the date of first access.
- These Terms apply to all visitors, registered users, and others who access or use the Platform in any capacity.
- If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
- You must be at least 13 years of age to create an account. Users between 13 and 18 (or the age of majority in their jurisdiction) may only use the Platform with the verifiable consent of a parent or legal guardian.
- Users under 18 are subject to True Circle's age-tiered safety rules, which restrict features, content, and interactions based on the user's verified age band.
- By registering, you represent and warrant that you meet these eligibility requirements and that all information you provide is accurate and truthful.
- Persons who are barred from using the Platform under applicable law (for example, due to a prior ban or legal restriction) are not permitted to access it.
- True Circle enforces a "one person, one account" rule. Each natural person may maintain only one account on the Platform.
- Account verification requires a valid government-issued photo ID and a live selfie matched to that ID. Verification is mandatory before access to core Platform features is granted.
- Your verification data is encrypted in transit and at rest, stored in an access-locked vault, and is never displayed publicly or made visible to other users.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.
- Submitting another person's identity documents, falsifying verification information, or attempting to register more than one account may result in immediate permanent ban.
- As part of verification, True Circle collects and processes biometric data (your facial geometry from the live selfie) solely to confirm that you are the person shown on your government ID.
- You provide explicit, informed consent to this biometric processing as a condition of verification. If you do not consent, you cannot complete verification or access the Platform.
- Biometric data is deleted from our systems within 30 days of successful verification. It is not used for any other purpose, not shared with third parties, and not used to build advertising or profiling models.
- Where required by law (including the Illinois Biometric Information Privacy Act, Texas Capture or Use of Biometric Identifier Act, Washington biometrics law, and GDPR Article 9), we provide this notice and obtain consent before processing.
- You may request deletion of your biometric data earlier by contacting us; verification may be revoked as a result.
- You agree not to: create accounts using automated means (bots); create fake or fraudulent accounts; impersonate any person or entity; or misrepresent your identity or affiliation.
- You agree not to harass, threaten, intimidate, or bully any person; to send unsolicited spam; or to post content that is illegal, harmful, infringing, or otherwise prohibited.
- You agree not to use the Platform to engage in fraud, scams, money laundering, or the sale of prohibited goods or services.
- You agree not to attempt to disrupt, overload, or reverse-engineer the Platform or its systems, or to access data you are not authorized to access.
- Violation of these conduct rules may result in content removal, suspension, or permanent termination of your account, and may be reported to law enforcement where appropriate.
- True Circle may monitor user-generated content and communications to the extent permitted by law and reserves the right to remove or restrict access to any content that violates these Terms, our Community Rules, or applicable law.
- We may suspend or terminate accounts that violate these Terms, including for repeated or serious violations, without prior notice where circumstances require.
- Content moderation decisions are made in good faith based on our policies and applicable law. Users affected by moderation actions may appeal under the mechanism described in Section 9.
- True Circle does not guarantee that all prohibited content will be detected or removed. The Platform is provided on an "as is" basis with respect to moderation.
- True Circle respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA).
- To submit a takedown notice, contact our designated copyright agent at legal@truecircle.com with the information required by 17 U.S.C. § 512(c)(3): identification of the copyrighted work, the allegedly infringing material, your contact information, a statement of good-faith belief, and a statement under penalty of perjury that you are authorized to act.
- We will review and act on valid notices promptly, including removal of or disabling access to the allegedly infringing material.
- Users who believe their content was removed in error may submit a counter-notification. Repeat infringers will have their accounts terminated.
- You retain ownership of all intellectual property rights in the content you post to the Platform ("User Content").
- By posting User Content, you grant True Circle a limited, non-exclusive, royalty-free, worldwide license to host, store, use, display, reproduce, and distribute that content solely for the purpose of operating and providing the Platform.
- This license is revocable: when you delete your content or your account, this license terminates with respect to that content, except where copies must be retained for legal, archival, or audit purposes.
- You represent that you own or have the rights to all User Content you post, and that such content does not infringe the rights of any third party.
- Creating a fake account, impersonating another person, or submitting fraudulent verification materials results in a permanent ban from the Platform.
- Banned individuals are prohibited from creating new accounts. Attempting to circumvent a ban is a further violation of these Terms.
- A banned user may submit one appeal within 14 days of the ban decision by contacting legal@truecircle.com. Appeals are reviewed by a team independent of the original decision.
- For users in the European Union, this appeal mechanism satisfies the Digital Services Act (DSA) requirement for an internal complaint-handling system. Users may also use out-of-court dispute settlement bodies certified under the DSA.
- The TrueShop marketplace connects buyers and sellers. True Circle is not a party to any transaction between users and is not a seller, agent, or broker in any transaction.
- True Circle is not liable for the quality, safety, legality, or delivery of goods or services exchanged between users, nor for the conduct of any user in a transaction.
- True Circle does not guarantee that any exchange location is safe. Users are solely responsible for assessing the safety of in-person exchanges and are encouraged to use designated safe exchange locations.
- Payment processing, if and when integrated, will be subject to additional terms disclosed at the point of transaction.
- The following are strictly prohibited from being listed or sold on the Platform: illegal items or services; weapons and ammunition; controlled substances and drug paraphernalia; counterfeit or pirated goods; stolen property; and any item whose sale is restricted or prohibited by applicable law.
- Listings of prohibited items will be removed and may result in account suspension or permanent ban.
- You are solely responsible for ensuring that any item you list complies with all applicable laws, including those governing sale, shipment, and age restrictions.
- True Circle reserves the right to determine, in its discretion, whether a listing violates this section or applicable law.
- Your privacy and the processing of your personal data are governed by our separate Privacy Policy, which is incorporated into these Terms by reference.
- By using the Platform, you consent to the collection, use, and processing of your data as described in the Privacy Policy.
- True Circle complies with applicable data protection laws, including the EU General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and the Children's Online Privacy Protection Act (COPPA) where applicable.
- You may exercise your data rights (access, correction, deletion, portability) as described in the Privacy Policy.
- True Circle may suspend or terminate your account and access to the Platform at any time, with or without cause, including for violations of these Terms.
- You may delete your account at any time through your account settings. Upon deletion, your User Content will be removed except where retention is required by law.
- Upon termination, all licenses granted by you to True Circle terminate, except for content that must be retained for legal or audit purposes.
- Termination does not relieve you of obligations incurred before termination, including payment obligations or liability for violations.
- The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, True Circle disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
- True Circle does not warrant that the Platform will be uninterrupted, error-free, secure, or that defects will be corrected.
- No advice or information obtained from the Platform creates any warranty not expressly stated in these Terms.
- To the extent permitted by law, True Circle asserts platform protections under Section 230 of the Communications Decency Act and analogous provisions, where applicable.
- To the fullest extent permitted by law, in no event will True Circle be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Platform.
- True Circle's total aggregate liability arising out of or relating to these Terms or the Platform will not exceed the greater of (a) USD $100, or (b) the amount you paid True Circle in the 12 months preceding the claim.
- Some jurisdictions do not allow the exclusion or limitation of certain damages; the above limitations apply to the extent permitted by applicable law.
- You agree to indemnify and hold harmless True Circle and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Platform or your violation of these Terms.
- This indemnification obligation survives termination of your account or these Terms.
- True Circle reserves the right to assume the exclusive defense of any matter for which you are required to indemnify us, and you will cooperate in that defense.
- Except for claims that may be brought in small claims court, any dispute or claim arising out of or relating to these Terms or the Platform will be resolved by binding individual arbitration, and not in a class, consolidated, or representative action.
- You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice to legal@truecircle.com. If you opt out, disputes will be resolved in the courts described in Section 18.
- Before initiating arbitration, the parties agree to attempt in good faith to resolve the dispute through negotiation for at least 30 days.
- This arbitration agreement does not prevent you from bringing claims to a small claims court of competent jurisdiction, and does not waive any consumer rights that cannot be waived under applicable law.
- Some states restrict or prohibit mandatory arbitration; this section will be enforced only to the extent permitted by the law of your jurisdiction.
- These Terms and any dispute arising out of or relating to them will be governed by and construed in accordance with the laws of [State], without regard to its conflict-of-laws provisions.
- Any dispute not subject to arbitration under Section 17 will be brought exclusively in the state or federal courts located in [County], [State], and you consent to the personal jurisdiction of those courts.
- Replace [State] and [County] with True Circle's jurisdiction of incorporation before these Terms are published.
- True Circle may modify these Terms from time to time. We will provide at least 30 days' notice of material changes by posting the revised Terms on the Platform and, where appropriate, notifying registered users.
- Your continued use of the Platform after the effective date of revised Terms constitutes acceptance of those changes.
- If you do not agree to the revised Terms, you must stop using the Platform. Your only remedy for disagreement is to terminate your account.
- The "Last updated" date below reflects the most recent revision of these Terms.
